1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you and Mind Colony Ltd ("Company," "we," "us," or "our"), concerning your access to and use of the Evolt web application. By accessing Evolt, you agree that you have read, understood, and agreed to be bound by all of these Terms and Conditions.

2. Description of Service

Evolt is a digital interface that allows users to seamlessly convert digital assets (USDC) to local fiat currency and vice versa. Evolt provides the software interface connecting users to the Base blockchain network and third-party liquidity providers. Evolt does not hold, custody, or manage user funds.

3. Third-Party Services and Fiat Processing

All fiat-to-crypto and crypto-to-fiat transactions are processed by independent, regulated third-party service providers (including but not limited to Mercuryo).

By utilizing these top-up and cashout features, you agree to comply with the Terms of Service and KYC/AML requirements of these specific third-party providers.

Mind Colony Ltd is not responsible for any transaction delays, holds, or failed settlements caused by third-party fiat gateways or local banking networks.

4. User Responsibilities & Prohibited Activities

You represent and warrant that:

• You are at least 18 years of age and have the legal capacity to enter into a binding contract.
• You are not located in, under the control of, or a national or resident of any country or territory subject to comprehensive international sanctions (e.g., OFAC, FATF blacklists).
• You will not use Evolt for any illegal or unauthorized purpose, including money laundering, terrorism financing, or evading international sanctions.
• You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

5. Transaction Finality and No Refunds

Due to the immutable nature of blockchain technology, all cryptocurrency transactions initiated through Evolt are final and irreversible. Once a transaction has been broadcast to the Base network, it cannot be canceled, recalled, or refunded. Mind Colony Ltd does not offer refunds on completed crypto-to-fiat or fiat-to-crypto transactions. You are solely responsible for verifying all transaction details, including recipient wallet addresses and bank account details, prior to confirmation.

6. Fees and Exchange Rates

While Evolt sponsors network gas fees on the Base network for standard transactions, the conversion rates and provider fees for fiat off-ramping are determined by our liquidity partners in real-time. The final amount displayed to you on the Evolt transaction receipt is the amount you agree to process.

7. Limitation of Liability

To the maximum extent permitted by law, Mind Colony Ltd shall not be liable for any indirect, consequential, or incidental damages arising out of your use of the Evolt platform. The platform is provided on an "AS-IS" and "AS-AVAILABLE" basis. We do not warrant that the service will be uninterrupted or error-free, particularly concerning blockchain network congestion.
